I don't know about Win 8, but it definitely works on Win 7 64 bit.
Just a word of warning: the tech tree is a nightmare, only colonize planets with PQ 15 or better (everything below goes from bad to worse, and you have to pay extra maintenance) and don't expect to make sense in how improvements affect your planet's output (it is mainly determined by the PQ and some arcane formula).
